1. Preamble
These General Terms and Conditions of Contract (“T&Cs”) govern the submission and acceptance of purchase offers for the products sold on the website Almachiaragin.com, operated by Roma & Ginger S.r.l.s., a Single-Member Simplified Limited Liability Company, registered in Italy at Via Medaglie d’Oro 17, 31035 Crocetta del Montello (TV),– VAT/Tax Code 05540440269, REA TV-452696, certified email: romaeginger@legalmail.it – email: info@roma-ginger.com – phone: +39 327 3172271.
The contract language is Italian. Other language versions are courtesy translations. In the event of any discrepancies or conflicts between different language versions of these T&Cs, the Italian version will take precedence and govern the interpretation of the agreement.
The contract is governed, inter alia, by Legislative Decree no. 206 of 6 September 2005 (“Consumer Code”) and Legislative Decree no. 70 of 9 April 2003 (“E-commerce regulations”).
2. Definitions
For the purpose of these T&Cs, the following terms shall have the meanings shown:
- Purchaser or Customer: any natural or legal person making a purchase through the Site, whether acting as a Consumer or a Professional.
- Consumer Code: Italian Legislative Decree no. 206 of 6 September 2005 and subsequent amendments regulating consumer rights.
- Discount Code: promotional voucher with a fixed value, valid until expiry and non-transferable.
- Consumer: any natural person acting for purposes unrelated to their trade, business, craft, or profession, as per Art. 3 of the Consumer Code.
- Contract: the distance contract concluded between the Seller and the Purchaser on the Site following the Seller’s Order Confirmation.
- Order: the purchase offer submitted by the Purchaser on the Site.
- Products: goods sold by the Seller on the Site.
- Professional: any natural or legal person acting in the course of their business, trade, craft, or profession, or an intermediary thereof, as defined in Art. 3(1)(c) of the Consumer Code.
- Site: the online platform accessible at www.almachiaragin.com..
- Seller: Roma & Ginger S.r.l.s.
3. Scope of Application
The offer and sale of Products via the Site constitute a distance contract pursuant to Chapter I, Title III (Arts. 45 et seq.) of the Consumer Code and Legislative Decree no. 70 of 9 April 2003 on electronic commerce.
These T&Cs apply to all contracts concluded on the Site. They do not apply to sales or services provided by third parties, even if accessible via links or banners available on the Site. The T&Cs of these third parties will apply to any contract concluded with them. The Seller assumes no responsibility for any services provided by such third parties.
Any changes to these T&Cs will be published on the Site and will apply only to contracts entered into thereafter.
Purchases are reserved for users aged 18 years or older.
4. Acceptance of the T&Cs
The issuance of the purchase offer by the Purchaser entails full, unconditional, and informed acceptance of these T&Cs. They are deemed valid and effective upon publication on the Site and prevail over any previous versions as well as over any terms proposed by the Purchaser, including those contained in written or electronic communications, or in other documents.
5. Conclusion of the Contract
The Order is considered accepted and the Contract concluded with the issuance of the Order Confirmation e-mail by the Seller. This e-mail includes the following:
- Order number
- Product description and price
- Shipping costs (where applicable)
- Billing and/or delivery information
- Links to these T&Cs, incl. terms of withdrawal
- Seller’s contact details
The Contract is concluded according to the regulations on the “invitation to tender” under applicable law.
6. Order Cancellation or Amendment
The Purchaser may request the cancellation or amendment of the Order within 12 hours of submission by writing to info@almachiaragin.com.it and indicating the order number. After this period, or if the order has already been processed/shipped, requests for changes will no longer be accepted.
The Seller reserves the right to reject or cancel orders in the following cases:
- The order is incomplete or contains errors
- Billing data is incorrect, incomplete, or unverifiable
- The ordered Product is unavailable
- Payment has not been received, is incomplete or unverifiable
- Obvious errors in the price indication
- The existence of a dispute between the Purchaser and the Seller concerning a previous order
- The Buyer has violated previous T&Cs or the Site’s Terms of Use
- There are reasonable doubts about the Purchaser being 18 years of age of older
In such cases, the Seller will notify the Purchaser via e-mail and refund any payments made within 14 (fourteen) days of notification.
7. Prices and Discount Codes
The prices displayed at the time of the Order apply. Discount Codes (if available) are non-transferable. They are valid for a limited time and single use. They entitle the user to a price reduction. They do not entitle the user to any cash reimbursement. Purchases made using Discount Codes are subject to these T&Cs, where applicable.
8. Payment Methods
Payment for Products can be made through credit card, PayPal, bank transfer, or other secure digital systems, as advertised on the Site. Upon Order Confirmation, the Customer will be linked to the payment provider’s platform for payment.
Roma & Ginger S.r.l.s. does not manage or store payment data. Such data is securely handled by the third party service providers via encrypted connections. Roma & Ginger S.r.l.s. is not responsible for any improper or fraudulent use by any third party service providers.
Where payment is made by bank transfer, the order will be processed only after the full amount has been received on the Seller’s bank account. The transfer must be made within 3 days of the Order, specifying the following in the payment description: the Order number, the Order date, and the Customer’s full name. If no payment is received by then, the Order will be automatically cancelled.
All payments must be made in euros (€), unless otherwise indicated.
9. Shipping and Costs
The Seller will make every effort to ensure the Product is delivered within 7 (seven) business days from handover to the carrier for shipment within Italy. The Seller shall not be held liable for any delays or issues not directly attributable to its actions.
Any shipping costs will be indicated before the final Order confirmation. Where a single Order includes several products, delivery may occur through separate shipments, but any shipping costs will be charged only once.
Any additional storage or delivery costs resulting from the Purchaser providing an incorrect address will be borne by the Purchaser.
10. Delivery of Goods
Upon delivery of the Products, the Customer must check that:
- the number of packages matches the delivery note;
- the packaging is intact and undamaged.
Any visible defects must be immediately reported to the courier.
If the package is refused due to damaged packaging, the Seller will resend the Product at no extra cost, based on the delivery times indicated on the Site and calculated from the refusal confirmation.
The Product will be returned to the Seller if, due to failed delivery, it is stored with the courier and not collected within 5 business days. The Purchaser will then issue a refund of the purchasing price minus the courier’s shipping and storage fees.
11. Legal Warranty of Conformity
Consumers are entitled to the legal warranty of conformity under the Consumer Code (Leg. Decree 206/2005). In case of a defective product:
- They are entitled to free repair or replacement
- If this is not possible, they may request a price reduction or refund, on return of the defective product
The warranty lasts 2 years from delivery. Any defects must be reported within 2 months of discovery and proof of purchase must be provided.
12. Right of Withdrawal
In accordance with the Consumer Code (Arts. 52 et seq., Leg. Decree 21/2014), a Purchaser who qualifies as a Consumer has the right to withdraw from the contract, without any reason and without incurring any penalty, within 14 days of delivery.
This right:
- does not apply to purchases made as a Professional
- only covers return shipping costs and any difference between free standard shipping and express shipping options chosen by the Purchaser
13. How to Exercise the Right of Withdrawal
To withdraw, the Purchaser must email info@almachiaragin.com within 14 days of delivery, providing:
- full name and contact details
- order number
- product to be returned
The Product must be returned within 14 days of notification, intact, in its original packaging, and with all accessories, at the Purchaser’s expense, to: Roma & Ginger S.r.l.s., Via Medaglie d’Oro 17, 31035 Crocetta del Montello (TV), Italy.
Goods travel at the Customer’s own risk. The Seller is not liable for damage, theft, or loss during shipping.
Refunds will be issued within 14 days of receiving the returned item or proof of shipment, using the same payment method unless otherwise agreed.
14. Loss of Right of Withdrawal
Under Art. 59(e) of the Consumer Code, the right of withdrawal is excluded for sealed goods not suitable for return for hygienic or health related reasons once opened. Therefore, for products like gin, the right of withdrawal is void once the bottle has been opened.
In summary, Customers forfeit their right to return or refund where:
- the safety seal is broken
- the product as been even partially consumed
- the original packaging/accessories is missing
- the product is damaged, and the damage was not caused by transport
In such cases, the item will be returned to the Customer and shipping costs will apply.
15. Governing Law and Jurisdiction
This purchase contract is governed by Italian law.
For any disputes with consumers arising out of or in connection with these T&Cs, jurisdiction lies with the court of their place of residence or domicile. For any disputes with non-consumers, the exclusive jurisdiction lies with the Court of Treviso.
EU-resident Customers may use of the European Small Claims Procedure (Reg. EC No. 861/2007) for disputes up to €5,000 (excluding interest and costs) via www.eur-lex.europa.eu.
16. Online Dispute Resolution (ODR)
Pursuant to Art. 14 of EU Regulation 524/2013, Consumers may resolve disputes related to online distance contracts through the European Commission’s ODR platform, available at: http://ec.europa.eu/consumers/odr/.
